Pilates Teacher Training Agreement

This Agreement (“Agreement”) is entered into by and between the enrolling participant (“Trainee”) and Arizona Pilates Studio LLC (“Studio”), a limited liability company organized under the laws of the State of Arizona. By purchasing and enrolling in the Pilates Teacher Training Program (“Program”), the Trainee acknowledges and agrees to the following terms and conditions:

1. Payment Terms

1.1 A non-refundable deposit is required to secure enrollment in the Program.
1.2 The remaining balance is due in full before training begins.
1.3 All payments made are final, non-refundable, and non-transferable, regardless of the Trainee’s ability to attend, complete, or continue with the Program.

2. Attendance Requirements

2.1 Trainee is required to attend 100% of scheduled training dates in order to be eligible for certification.
2.2 Any absence must be communicated to the Studio in advance and is subject to approval. Make-up sessions, if granted, must be completed in a timely manner at the Studio’s discretion.
2.3 Failure to complete the required hours may result in denial of certification without refund or credit.

3. Certification Requirements

3.1 Trainee must complete all hours of required training, which includes but is not limited to in-person instruction, practice teaching, observation, co-teaching, community teaching hours, and written and/or practical assignments.
3.2 Issuance of a Certificate of Completion is contingent upon successful completion of all program requirements and full compliance with this Agreement.

4. Employment Disclaimer

4.1 Participation in and completion of the Program does not constitute or imply any guarantee or offer of employment at Arizona Pilates Studio or any affiliated or unaffiliated facility.
4.2 Employment decisions are made solely at the discretion of the Studio based on business needs, performance, conduct, and other relevant considerations.

5. Cancellation and Withdrawal Policy

5.1 All payments, including the initial deposit, are non-refundable.
5.2 Trainees who withdraw, fail to complete the program, or are dismissed for any reason will not be entitled to any refund, credit, or transfer of payment.

6. Program Modifications

6.1 The Studio reserves the right to make changes to the Program, including but not limited to the schedule, curriculum, format, or instructor assignments, at any time and for any reason.
6.2 The Studio will make reasonable efforts to communicate any material changes to enrolled Trainees in a timely manner.

7. Professional Conduct & Representation

7.1 The Trainee agrees to conduct themselves in a respectful, professional, and supportive manner throughout the duration of the Program, including during all classes, lectures,  observations, and practice sessions held on Studio premises.
7.2 The Trainee shall represent themselves with integrity and in a manner consistent with the values of the Studio.
7.3 Any form of harassment, misconduct, gossip, or disparagement of Arizona Pilates Studio, its owners, instructors, staff, clients, or fellow students is strictly prohibited and may result in immediate dismissal from the Program without refund.

8. Non-Solicitation & Competitive Activity

8.1 The Trainee agrees that they shall not directly or indirectly solicit, recruit, or attempt to solicit or recruit any clients, trainees, staff members, or independent contractors of Arizona Pilates Studio for the purpose of offering competing services.
8.2 The Trainee further agrees not to use Studio facilities, resources, or access to clients or staff to prepare for, promote, or engage in activities related to the establishment or operation of a competing business.
8.3 The Trainee agrees not to open, or operate, a Pilates studio or similar wellness/fitness business within a ten (10) mile radius of any Arizona Pilates Studio location for a period of twelve (12) months following completion of the Program.
8.4 Violation of this section may result in legal action, including but not limited to injunctive relief, damages, and revocation of certification.

9. Access & Studio Privileges

9.1 Trainee may be granted limited access to Studio classes, studio space, digital content, and other resources for practice, observation, or educational purposes.
9.2 All such access is conditional and may be revoked, modified, or restricted at any time at the sole discretion of the Studio.
9.3 Revocation of access for reasons including but not limited to unprofessional behavior, misuse of facilities, or breach of this Agreement shall not entitle the Trainee to a refund or credit.

10. Confidentiality & Copyright

10.1 All materials provided in the Program—including but not limited to manuals, video recordings, written content, training sequences, teaching frameworks, and digital resources—are the exclusive intellectual property of Arizona Pilates Studio and are protected by applicable copyright and intellectual property laws.
10.2 The Trainee shall not copy, reproduce, modify, distribute, share, or disclose these materials to any third party outside of the designated training cohort without the prior written consent of the Studio.
10.3 The Trainee is permitted to utilize the knowledge, techniques, and methodologies acquired through the Program to conduct classes and build their personal teaching practice; however, no part of the Program’s original materials may be claimed, sold, or repurposed as the Trainee’s own curriculum, certification program, or educational content.
10.4 Any breach of this provision may result in immediate termination from the Program, forfeiture of certification, and legal action, including claims for injunctive relief and monetary damages.

11. Confidentiality of Studio Operations

11.1 The Trainee agrees to maintain the confidentiality of all internal business operations of Arizona Pilates Studio, including but not limited to pricing structures, staffing practices, class formats, business strategies, and internal communications.
11.2 Disclosure or use of such confidential information for competitive purposes or to any third party may result in legal action and termination from the Program without refund.

12. Media Release

12.1 The Trainee grants Arizona Pilates Studio the irrevocable right to photograph, video record, or otherwise capture their image and/or voice during the Program.
12.2 The Studio may use such media for promotional, marketing, or educational purposes in any format, including but not limited to website, social media, and printed materials, without compensation or additional permission.

13. Health & Liability Waiver

13.1 The Trainee acknowledges that participation in physical exercise involves inherent risks.
13.2 By enrolling in the Program, the Trainee affirms they are in good physical condition and capable of participating fully in all program activities.
13.3 The Trainee voluntarily assumes full responsibility for any injuries, losses, or damages incurred during participation. Arizona Pilates Studio, its owners, instructors, and staff shall not be held liable for any such injuries or claims.

14. Code of Conduct & Dismissal Rights

14.1 The Studio reserves the right to dismiss any Trainee from the Program at any time due to behavior deemed unprofessional, unsafe, disruptive, or misaligned with the values of the Studio.
14.2 Such dismissal shall be at the sole discretion of the Studio and shall not entitle the Trainee to any refund, credit, or certificate.

15. Non-Disparagement

15.1 The Trainee agrees not to make or publish any false, misleading, or disparaging statements, whether written or verbal, about Arizona Pilates Studio, its owners, staff, instructors, trainees, clients, or affiliates, either during or after participation in the Program.
15.2 Violation of this clause may result in legal action, including the forfeiture of certification and monetary damages.

16. Force Majeure

16.1 Arizona Pilates Studio shall not be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to natural disasters, government orders, pandemics, labor disputes, acts of war, or utility outages.
16.2 In such instances, the Studio reserves the right to modify, postpone, or reschedule training or transition the program to a virtual format without obligation to refund.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona. Any disputes arising under or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts located in Maricopa County, Arizona.


18. Acknowledgment & Acceptance

By enrolling in and submitting payment for the Pilates Teacher Training Program, the Trainee confirms that they have read, understood, and voluntarily agreed to be legally bound by the terms and conditions set forth in this Agreement in its entirety.
